Article 1 — Purpose and scope

These general terms and conditions of sale (T&Cs) govern remote sales of products made through the online shop www.vanilha-noire.com, between IDEERP LLC (operating under the Vanilha Noire brand) and any individual consumer (“the customer”). Professional quote requests submitted via the Sectors pages or the Professional area fall under a separate commercial agreement, distinct from these T&Cs. Any order placed on the shop implies unreserved acceptance of these T&Cs.

Article 2 — Products

The products offered for sale are Madagascar Bourbon vanilla pods, whose essential characteristics (origin, grading, packaging) are presented on each product page before the order is confirmed. Products are offered subject to availability.

Article 3 — Price

Product prices are stated in euros. The applicable price is the one in effect on the day of the order. Delivery charges, where applicable, are shown to the customer before final order confirmation. The applicable VAT regime is specified on each invoice and in the order summary, in accordance with current regulations.

Article 4 — Order

Orders are placed online in several steps: selecting the product and quantity, adding to cart, identification or account creation, order summary, payment. An order confirmation is sent by email to the customer after validation. IDEERP LLC reserves the right to refuse or cancel any order in the event of an existing dispute with the customer, suspected fraud, or stock shortage of the ordered product, with the customer informed as soon as possible.

Article 5 — Payment

The price is payable in full at the time the order is confirmed. Accepted payment methods are those offered on the site at the time of payment. Transactions are secured using standard industry protocols.

Article 6 — Delivery

Products are delivered to the address provided by the customer when ordering. The delivery time is communicated to the customer upon order confirmation. Risk relating to the product transfers upon delivery. In the event of delay or non-delivery, the customer may contact customer service at contact@vanilha-noire.com to learn about the applicable remedies.

Article 7 — Right of withdrawal

In accordance with Article L221-18 of the French Consumer Code, the individual customer has a period of 14 days from receipt of their order to exercise their right of withdrawal, without having to justify a reason.

However, in accordance with Article L221-28 4° of the French Consumer Code, this right of withdrawal cannot be exercised for goods liable to deteriorate or expire rapidly, or for goods unsealed after delivery that cannot be returned for hygiene or health protection reasons. As vanilla pods are a perishable food product sold in sealed (vacuum) packaging, the right of withdrawal does not apply once this packaging has been opened by the customer after delivery.

Article 8 — Legal guarantees

Every purchase made on the shop benefits from the legal guarantees of conformity and against hidden defects provided for by the French Consumer Code and the French Civil Code.

Article 9 — Liability and force majeure

IDEERP LLC cannot be held liable for any indirect damage resulting from the use of the products or the site. IDEERP LLC cannot be held responsible for failure to perform its obligations in the event of force majeure, as defined by case law, including in particular natural disaster, strike, hosting failure, or interruption of communication networks.

Article 11 — Disputes and applicable law

These T&Cs are governed by French law for consumer customers residing in France, in accordance with the position adopted in our legal notice and our terms of use. Failing an amicable resolution, any dispute will be submitted to the competent courts under ordinary law rules. In accordance with the European regulation on the online resolution of consumer disputes, any European consumer may use the European Commission’s online dispute resolution platform: ec.europa.eu/consumers/odr.
